The Opportunity

We are looking for an enthusiastic and capable individual to support the Group Company Secretary in order to deliver a wide range of company secretarial services and legal compliance management to the INEOS group of companies.

The Assistant Group Company Secretary role sits within the small and dynamic INEOS Group legal team, and the successful candidate will have exposure across all INEOS businesses. The role is based in Lyndhurst (though the business is open to the successful applicant being based in London or Runcorn) and will require domestic and international travel from time to time.

 

Responsibilities & Accountabilities

  • Providing company secretarial support, including drafting board minutes, resolutions and other corporate authorisations, managing entity incorporations and completing statutory filings and maintaining statutory records for Group companies.
  • Preparing and maintaining the INEOS Group structure chart and entity lists.
  • Administration and maintenance of INEOS’ statutory records system (Diligent), legal compliance training system (LRN) and internal corporate databases containing company secretarial and compliance resources.
  • Management of internal reorganisation and entity reduction projects (including preparation of corporate authorisations, coordination of internal stakeholders and external advisors), and assisting with company secretarial aspects of M&A transactions.
  • Monitoring corporate governance, legal compliance and regulatory developments and recommending and implementing changes (and updating guidance) to ensure compliance with all applicable legal, statutory and governance requirements, as well as best practice, for private organisations.
  • Supporting the Group Company Secretary with group-wide legal compliance initiatives which are of key importance to the group, such as sanctions, bribery & corruption, competition law and modern slavery programs, ensuring adherence to regulatory requirements and administering legal compliance training in relevant areas.
  • Liaising with internal and external stakeholders both in the UK and overseas (including the internal Legal, Finance and ESG teams, external regulators, and the Group’s auditors and legal advisers), to facilitate refinancing projects, KYC checks, reporting and audit processes.
  • Managing relationships with company secretarial service providers and other suppliers, including information requests, invoicing, database / license changes and contractual renewals.
  • Facilitating the execution and delivery of corporate authorisations and legal documentation and authentication of documents for advisors and banks (liaising with notaries as required).
  • Assisting with the maintenance of INEOS’ trademark portfolio and trademark, company name and director fraud protections. 

 

Experience & Education

  • Relevant graduate / post-graduate legal, accountancy or ICSA qualification
  • A minimum of three to five years’ experience in a complex, multinational, corporate organisation
  • Three to five years’ Company Secretarial experience (or equivalent experience in a professional services, corporate governance, compliance or legal / para-legal role).

 

Technical Skills

  • Experienced user of Company Secretarial software is preferred (but not strictly required).
  • Proficient user of Microsoft Excel, PowerPoint and Word.
  • Clear knowledge and understanding of UK company law (private company).
  • Familiarity with international (EU and US) corporate governance and compliance requirements preferred.
  • Excellent written and verbal communicator with the ability to develop and deliver policies, guidance and training on corporate governance and compliance topics.
